Documents Constituting the Contract

組成本合同的文件及優(yōu)先解釋順序與本合同通用條款2.1款的規(guī)定一致：

The documents constituting this Contract and their order of precedence for interpretation shall be consistent with Clause 2.1 of the General Conditions of this Contract:

⑴ 本合同簽訂后雙方新簽訂的補(bǔ)充協(xié)議；

(1) Supplementary agreements executed by both Parties after the signing of this Contract;

⑵ 本合同第一部分的協(xié)議書；

(2) The Agreement in Part I of this Contract;

2.5 標(biāo)準(zhǔn)、規(guī)范

2.5 Standards and Specifications

⑴ 本工程的材料、設(shè)備、施工必須符合現(xiàn)行國(guó)家、行業(yè)及住房和城鄉(xiāng)建設(shè)部頒布的相關(guān)標(biāo)準(zhǔn)、規(guī)范、規(guī)程和驗(yàn)收標(biāo)準(zhǔn)的要求。當(dāng)國(guó)家、行業(yè)及地方標(biāo)準(zhǔn)、規(guī)范存在不一致時(shí)，以要求更嚴(yán)格者為準(zhǔn)，設(shè)計(jì)文件另有規(guī)定除外。

(1) All materials, equipment and construction for this Project shall comply with current national, industrial, and Ministry of Housing and Urban-Rural Development promulgated standards, codes, specifications and acceptance criteria. Where discrepancies exist between national, industrial and local standards, the more stringent requirements shall prevail, unless otherwise specified in design documents.

2.7 圖紙和資料提供的延誤

2.7 Delay in Provision of Drawings and Documents

⑴ 因發(fā)包人未能按約定提供圖紙和資料，打亂工程施工進(jìn)度計(jì)劃，給承包人造成損失和(或)導(dǎo)致工期延誤的，發(fā)包人應(yīng)賠償承包人損失和(或)順延延誤的工期。

If the Employer's failure to provide drawings and documents in accordance with the agreement disrupts the construction schedule, causing losses to the Contractor and/or delaying the project schedule, the Employer shall compensate the Contractor for such losses and/or extend the delayed construction period.

2.8 補(bǔ)充圖紙和資料

2.8 Supplementary Drawings and Documents

發(fā)包人為滿足本工程的正確實(shí)施和完成及其缺陷修復(fù)所需，可委托設(shè)計(jì)人設(shè)計(jì)補(bǔ)充圖紙(含深化設(shè)計(jì)圖紙)和技術(shù)資料，并按專用條款約定的時(shí)間和數(shù)量向承包人發(fā)出，承包人應(yīng)予執(zhí)行。

To ensure proper implementation, completion and defect rectification of the Works, the Employer may commission the designer to prepare supplementary drawings (including detailed design drawings) and technical documents, which shall be issued to the Contractor in accordance with the time and quantity specified in the Special Provisions, and the Contractor shall implement them accordingly.

2.10 竣工圖 2.10 As-built Drawings

⑴ 除專用條款另有約定外，在本工程竣工驗(yàn)收之前，承包人須按政府建設(shè)行政主管部門及政府檔案主管部門有關(guān)技術(shù)檔案管理要求編制整理竣工圖，報(bào)監(jiān)理人審核后移交給發(fā)包人。

Unless otherwise specified in the Special Provisions, prior to the project's final acceptance, the Contractor shall prepare as-built drawings in compliance with technical archive management requirements of the government construction administration department and archival authorities, which shall be submitted to the Supervising Engineer for review before being handed over to the Employer.

4.1 承包人的義務(wù)

4.1 Contractor's Responsibilities

承包人應(yīng)履行本合同所約定的全部義務(wù)。承包人應(yīng)精心組織施工，按時(shí)完成本工程及其在缺陷保修期內(nèi)對(duì)缺陷的修復(fù)。為此，承包人應(yīng)提供所需的全部監(jiān)督管理、人工、材料、設(shè)備、施工裝備、往返工地的交通以及合同約定或合理地推斷為進(jìn)行本工程而需要的各種資源。

The Contractor shall fulfill all obligations under this Contract. The Contractor shall meticulously organize construction to complete the Project and remedy defects during the defect liability period. For this purpose, the Contractor shall provide all necessary supervision, labor, materials, equipment, construction facilities, site transportation, and other resources expressly required or reasonably implied for the Project.

4.2 承包人的工作

4.2 Contractor's Works

⑴ 承包人應(yīng)按照專用條款約定完成以下工作：

（1）The Contractor shall complete the following works as specified in the Special Conditions:

① 辦理法律規(guī)定應(yīng)由承包人辦理的許可和批準(zhǔn)，并將辦理結(jié)果書面報(bào)送發(fā)包人留存；

① Obtain permits and approvals legally required for the Contractor, submitting copies to the Employer for retention;

⑧ 按照法律規(guī)定和合同約定編制竣工資料，完成竣工資料立卷及歸檔，并按專用條款約定的竣工資料的套數(shù)、時(shí)間等要求移交發(fā)包人；

⑧ Prepare as-built documentation in compliance with legal requirements and contract provisions, complete document filing and archiving, and deliver to the Employer the specified number of as-built document sets within the timeframe defined in Special Conditions;

7.2 總承包服務(wù)費(fèi)

7.2 Service Fee for General Contracting

⑴ 總承包服務(wù)費(fèi)是承包人為配合協(xié)調(diào)發(fā)包人進(jìn)行的專業(yè)工程發(fā)包、對(duì)發(fā)包人自行采購(gòu)的材料與設(shè)備等進(jìn)行保管以及施工現(xiàn)場(chǎng)管理、竣工資料匯總整理等服務(wù)所需的費(fèi)用。包括總包管理服務(wù)費(fèi)和發(fā)包人供應(yīng)材料（設(shè)備）保管費(fèi)，其對(duì)應(yīng)的工作內(nèi)容可在專用條款中詳細(xì)約定。

⑴ The Service Fee for General Contracting covers the Contractor's costs for coordinating the Employer's specialized works contracting, safeguarding Employer-procured materials and equipment, site mana?gement, and compilation of completion documents. This includes general management service fees and custodial fees for Employer-supplied materials/equipment, with specific scopes detailed in the Special Terms.

7.3 工作界面協(xié)調(diào)

7.3 Work Interface Coordination

⑴ 承包人應(yīng)做好與本工程相關(guān)各專業(yè)工作界面的協(xié)調(diào)工作。本工程施工期間，承包人應(yīng)無條件服從發(fā)包人及監(jiān)理人的統(tǒng)一協(xié)調(diào)指令，并指定專人負(fù)責(zé)接口協(xié)調(diào)工作，確保發(fā)包人及監(jiān)理人指令的及時(shí)實(shí)施。

(1) The Contractor shall coordinate work interfaces with all relevant specialized works related to this Project. During construction, the Contractor shall unconditionally comply with unified coordination instructions from the Employer and the Supervisor, appoint dedicated personnel for interface coordination, and ensure timely implementation of such instructions.

11.1 開工 11.1 Commencement

監(jiān)理人應(yīng)按合同約定的開工日期在不少于7天前向承包人發(fā)出開工通知書，承包人應(yīng)按合同約定的開工日期開始本工程或按專用條款13.1款約定的單項(xiàng)工程開工日期開始本工程中某單項(xiàng)工程的施工。

The Engineer shall issue a Commencement Notice to the Contractor no later than 7 days before the contractually agreed commencement date. The Contractor shall commence the Works or any specified part thereof under Clause 13.1 of the Special Provisions on the agreed commencement date.

12.1 發(fā)包人原因引起的暫停施工

12.1 Suspension Caused by Employer

因發(fā)包人原因引起暫停施工的，監(jiān)理人經(jīng)發(fā)包人同意后，應(yīng)及時(shí)下達(dá)暫停施工指示。情況緊急且監(jiān)理人未及時(shí)下達(dá)暫停施工指示的，按照第12.4款〔緊急情況下的暫停施工〕執(zhí)行。

If suspension is caused by the Employer's reasons, the Supervising Engineer shall issue a suspension order promptly after obtaining the Employer's consent. In urgent circumstances where the Supervising Engineer fails to issue a suspension order timely, the provisions of Sub-Clause 12.4 [Emergency Suspension] shall apply.

17.4Earmarked Use of Safety and Civilized Construction Funds

(1) 承包人應(yīng)確保施工現(xiàn)場(chǎng)安全文明措施費(fèi)專款專用，在財(cái)務(wù)管理中單獨(dú)列出安全文明措施項(xiàng)目費(fèi)用清單及金額備查，并設(shè)立單獨(dú)的安全文明措施費(fèi)銀行賬戶，接受發(fā)包人的監(jiān)管。

(1) The Contractor shall ensure that safety and civilized construction funds are earmarked exclusively for their designated purpose. Separate itemized cost lists and amounts for safety and civilized construction measures shall be maintained in financial records for audit purposes, with a dedicated bank account established for these funds, subject to the Employer's supervision.

21.3 暫列金額

21.3 Provisional amount

⑴ 暫列金額是發(fā)包人在工程量清單中暫定并包括在簽約合同價(jià)中的一筆款項(xiàng)，用于下列事項(xiàng)的費(fèi)用支出：

(1) Provisional amount refer to provisional amounts included in the Contract Price by the Employer in the Bill of Quantities for covering:

22.1 工程量清單

22.1 Bill of Quantities

⑴ 發(fā)包人在本工程招標(biāo)文件中提供的工程量清單所開列的工程量是根據(jù)本工程的設(shè)計(jì)圖紙?zhí)峁┑念A(yù)計(jì)工程量，不能作為承包人在履行合同義務(wù)過程中應(yīng)予完成的實(shí)際和準(zhǔn)確的工程量，不作為期中結(jié)算和竣工結(jié)算時(shí)確認(rèn)工程量的依據(jù)。

(1) Quantities listed in the BOQ provided in bidding documents are estimated based on design drawings, and shall not be deemed as actual quantities required for Contract performance. They shall not serve as basis for interim or final quantity verification.

⑵ 承包人實(shí)際應(yīng)予完成的工程量以本工程圖紙和技術(shù)規(guī)范為準(zhǔn)。期中結(jié)算和竣工結(jié)算時(shí)的結(jié)算工程量按第22.5款有關(guān)工程量計(jì)量的結(jié)果確認(rèn)。

(2) Actual quantities to be completed shall comply with project drawings and technical specifications. Settlement quantities for interim and final payments shall be determined according to Clause 22.5 measurement results.

24.6 價(jià)值工程

24.6 Value Engineering

⑴ 施工過程中承包人可隨時(shí)提出其認(rèn)為可滿足下列要求的合理化建議：

⑴ During the construction process, the contractor may put forward reasonable suggestions that he thinks can meet the following requirements at any time:

① 使本工程提前竣工；

① Completion of the Project ahead of schedule;

② 降低發(fā)包人的工程施工、維護(hù)或運(yùn)營(yíng)的費(fèi)用；

② Reduce the cost of construction, maintenance or operation of the contractor;

24.6 價(jià)值工程

24.6 Value Engineering

⑴ 施工過程中承包人可隨時(shí)提出其認(rèn)為可滿足下列要求的合理化建議：

⑴ During the construction process, the contractor may put forward reasonable suggestions that he thinks can meet the following requirements at any time:

① 使本工程提前竣工；

① Completion of the Project ahead of schedule;

② 降低發(fā)包人的工程施工、維護(hù)或運(yùn)營(yíng)的費(fèi)用；

② Reduce the cost of construction, maintenance or operation of the contractor;

27.6 竣工結(jié)算審計(jì)或?qū)徍?/span>

27.6 Audit/Review of Completion Settlement

⑴ 在發(fā)包人和承包人確認(rèn)竣工結(jié)算價(jià)款后7天內(nèi)，發(fā)包人應(yīng)當(dāng)將經(jīng)發(fā)包人和承包人共同確認(rèn)的竣工結(jié)算書按規(guī)定報(bào)政府指定機(jī)構(gòu)審計(jì)或?qū)徍?。在專用條款約定的特殊情況下，發(fā)包人可啟動(dòng)強(qiáng)制結(jié)算機(jī)制，將其單方編制的結(jié)算文件送審計(jì)或?qū)徍恕?/span>

(1) Within 7 days after mutual confirmation, the Employer shall submit the jointly approved statement to government-designated agencies for audit/review. Under Special Provisions-defined exceptional circumstances, the Employer may initiate mandatory settlement by submitting unilaterally prepared documents.

27.6 政府審計(jì)

27.6, Government’s audi

⑴ 本合同的任何工程變更、索賠、簽證和竣工結(jié)算以及補(bǔ)充協(xié)議(如果有)應(yīng)按規(guī)定經(jīng)過政府指定機(jī)構(gòu)審計(jì)或?qū)徍?。最終的竣工結(jié)算和支付依據(jù)按專用條款約定執(zhí)行。

(2) Any engineering change, claim, visa and completion settlement and supplementary agreement (if any) of this contract shall be audited or reviewed by the government designated agency as required. The final completion settlement and payment basis shall be carried out in accordance with the provisions of the special terms.

34.2 支付擔(dān)保

34.2 Payment Guarantee

(1) 發(fā)包人和承包人在簽訂本合同的同時(shí)，發(fā)包人應(yīng)按專用條款約定的金額和方式向承包人提交支付擔(dān)保，支付擔(dān)保應(yīng)由保證人(銀行、保險(xiǎn)公司、擔(dān)保公司)出具。

(1) When the contractor and the contractor sign this contract, the contractor shall submit the payment guarantee to the contractor in accordance with the amount and manner agreed in the special terms, and the payment guarantee shall be issued by the guarantor (bank, insurance company, guarantee company).
